1. Who you are dealing with
These terms are an agreement between you and LITEKEEP DATAC LLC, registered in Panama (“LiteKeep”, “we”). Questions go to [email protected].
By creating an account or ordering a server you accept these terms, the acceptable use policy, the refund policy and the privacy policy.
2. Your account
- An account needs an email address, a password and the country you live in or where your business is registered. Two-factor authentication is optional and we recommend it.
- You can top up before you verify your email, but you can’t deploy a server until you do.
- You must be at least 18, or the age of majority where you live if that is higher, and able to enter a contract.
- You can’t open an account if you, or the business you act for, are subject to sanctions by the United Nations, the United States, the European Union or the United Kingdom, or if you live in Cuba, Iran or North Korea.
- You are responsible for everything done with your account and on your servers, including by people you give access to.
- If you lose your second factor and your recovery codes, we restore access only after a support request, a 72-hour waiting period with emails to your account address, and a manual review.
- We will never ask for your password, SSH private key or wallet seed phrase.
3. Balance and payments
- Services are prepaid from a balance in US dollars. You add to it with the cryptocurrencies listed on our crypto payments page. The minimum deposit is $20.
- A payment quote is valid for 30 minutes. A payment that arrives after the quote expires is still matched for 72 hours; after that it is reviewed by hand.
- If you send more or less than the quote, we credit what arrived at the quoted rate.
- Your balance has two parts: cash credit from your deposits and bonus credit from promotions. Bonus credit is spent first and may expire as stated in the promotion. Only cash credit can be refunded.
- Blockchain transactions can’t be reversed by us. Check the coin, the network and the address before you send.
- VAT. Our prices don’t include VAT. If you live in the EU, each charge from your balance adds the VAT rate of your country, shown on your receipts. Bonus credit carries no VAT. An EU business with a VAT number that the EU’s VIES service confirms pays no VAT; it accounts for the VAT itself (reverse charge). Tell us your real country: it is the basis for the VAT we charge.
4. Hourly billing
- Cloud servers bill per started hour from the moment the server is created, not from when you ordered it.
- A server never costs more than its monthly price in one calendar month (UTC).
- A stopped server is billed in full, because its resources and IP address stay reserved. Billing stops when the server is deleted.
- To deploy, your balance must cover at least 48 hours of the server. We email you when your balance will run out in under 72 hours, and again under 24 hours.
- When your balance reaches zero, your servers are powered off and kept for 7 days, with emails when that happens, on day 3 and on day 6. A deposit within those 7 days lets you power them back on. After 7 days they are deleted, with their data.
- A Windows Server licence costs $4 a month per server, billed by the hour with the server and capped at $4 a month.
5. Your bill matches the calculator
Our pricing calculator shows what a plan costs for a number of hours. If we ever charge you more than it showed for the same plan, location and hours, we refund the difference to your balance. Write to [email protected] with the server and the period.
6. Keep (yearly) plans
- A Keep is paid for one year in advance from your balance.
- Before the year ends we email you. You can renew for another year with one payment, or let the server continue as an hourly server billed from your balance.
7. Forever Keep (one-time) plans
- A Forever Keep is paid once. There are no renewals or invoices for the server after that.
- It runs for as long as LiteKeep operates. We don’t promise a number of years, and no company honestly can.
- If a location has to close, we move your Forever Keep to another of our countries for free, and you choose which one.
- If LiteKeep ever stops providing the service altogether, we email you at least 30 days before, so you can copy your data off.
- Add-ons you choose later, such as a Windows licence, volumes or snapshots, are billed from your balance as usual.
- The acceptable use policy applies. A Forever Keep ended for abuse is ended permanently and not refunded.
8. Traffic
- Each plan includes outbound traffic. Only outbound traffic counts.
- All your servers’ allowances add up to one pool, measured per calendar month and reset on the 1st. Hourly servers add their allowance in proportion to the hours they existed. 1 TB is 1,000 GB.
- Traffic beyond your pool costs $2 per TB, charged to your balance.
9. Your data and backups
What you put on your servers is yours. You are responsible for it, for its legality, and for keeping backups. Snapshots and volumes are tools, not a guarantee; keep a copy somewhere else.
Deleted servers, and servers deleted after the 7-day retention period, can’t be recovered.
10. Suspension and termination
We may suspend a server or an account to stop abuse, an attack, or a breach of these terms or the law, and when the law requires us to. Where we can, we tell you first and give you time to fix it. The acceptable use policy explains how.
You can close your account at any time. Unused cash credit can be refunded under the refund policy.
11. The service
We run our service with care and aim for the uptime in our service level agreement, whose credits are the remedy for downtime. Beyond what these terms and that agreement promise, the service is provided as it is and as available, and we don’t promise it will suit a particular purpose or never fail.
We may change, add or retire plans, locations, operating system images and features. A change that takes away something you have already paid for follows section 13, and a Forever Keep keeps its relocation promise in section 7.
12. Liability
Nothing in these terms limits liability that the law doesn’t allow to be limited, such as for death or personal injury caused by negligence, for fraud, or for deliberate wrongdoing, and nothing takes away rights you have as a consumer.
Apart from that, we are not liable for indirect or consequential losses, such as lost profit, lost revenue, lost business or lost data, and our total liability for all claims connected with the service is limited to what you paid us in the 12 months before the event that caused the claim.
Events outside our reasonable control, such as a failure of a data centre, a network or power supplier, an attack on the internet’s infrastructure, war, a natural disaster or an act of a government, suspend our obligations for as long as they last. If one lasts more than 30 days, either of us may end the affected service, and you get back the unused part of what you prepaid for it.
If someone makes a claim against us because of what you or your users did with our service in breach of these terms or the law, you cover the costs and damages that we reasonably incur as a result.
13. Changes to these terms
We email you at least 30 days before a change that affects you takes effect. If you don’t accept it, you can close your account before then and get your unused cash credit back. Prices you have already paid for (a Keep year, a Forever Keep) don’t change during what you paid for.
14. General
- These terms and the policies they name are the whole agreement between us about the service.
- If a court finds part of these terms invalid, the rest stays in force.
- If we don’t enforce a right straight away, we haven’t given it up.
- You can’t transfer your account to someone else without our written agreement. We may transfer our agreement with you to a company that takes over the service, and we tell you if we do. Your rights under these terms stay the same.
- We send notices to your account email. You send them to [email protected].
- These terms are written in English, and the English version applies.
15. Governing law
These terms are governed by the laws of the Republic of Panama, and disputes go to the courts of Panama City, Panama. If you are a consumer, you keep the protection that the mandatory law of the country where you live gives you, including any right to bring a claim there.
